1. ABOUT VERTEX

Vertex ("Vertex", "we", "our", "us") is an Allquant platform providing algorithmic trading tools, indicators, reports and educational materials for traders and quantitative researchers. Vertex is not a broker, asset manager, investment adviser or financial institution and does not execute trades on behalf of users.

These Terms of Service ("Terms") govern access to and use of:

• The Vertex website and any subdomains ("Site");
• The Prometheus 1.38 expert advisor and any other Vertex software, signals, reports or content (collectively, the "Services").

By accessing the Site or using the Services you agree to be bound by these Terms. If you do not agree, you must not use the Site or Services.

You confirm that you:

• Are at least 18 years old (or the age of majority in your jurisdiction);
• Have full legal capacity to enter into a binding contract;
• Use the Services for your own account or on behalf of an organisation you are authorised to represent.

2. NATURE OF INFORMATION — NO INVESTMENT ADVICE

2.1 Educational purpose only

All materials provided by Vertex, including but not limited to backtests, statistics, risk metrics, performance charts, trading ideas, signals, scenarios and macro commentary, are provided for informational and educational purposes only.

2.2 No offer, recommendation or solicitation

Nothing on the Site or in the Services constitutes:

• Investment advice or a personal recommendation;
• An offer to buy or sell any financial instrument;
• Portfolio management or execution of orders on your behalf.

You are solely responsible for all investment and trading decisions. You should consult an appropriately licensed financial professional before making any investment decision.

2.3 Trading risk warning

Trading in foreign exchange, CFDs, futures, commodities, indices, cryptocurrencies and other leveraged products involves a high level of risk and may not be suitable for all investors. You may lose some or all of your invested capital. Past performance, backtests and simulated results do not guarantee, and are not indicative of, future performance.

By using the Services you confirm that you:

• Understand the risks of algorithmic and discretionary trading;
• Are able to bear the risk of loss;
• Will trade only capital that you can afford to lose.

3. RELATIONSHIP WITH BROKERS AND THIRD PARTIES

Vertex is independent from any broker, exchange, liquidity provider, prop firm or financial institution. Any reference to third-party platforms (for example MetaTrader 5), VPS providers, data vendors or brokers is for technical compatibility or educational illustration only and does not constitute endorsement or recommendation.

You are solely responsible for:

• Selecting and contracting with any broker, prop firm, VPS or data provider;
• Ensuring that use of the Services is compatible with third-party rules and restrictions;
• Paying all fees and charges of such third parties.

4. LICENSE TO USE PROMETHEUS 1.38 AND OTHER SOFTWARE

4.1 License grant

Subject to these Terms and timely payment of applicable fees, Vertex grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Prometheus 1.38 expert advisor and any other licensed software ("Licensed Software") on the specified number of trading accounts, terminals or activations communicated at purchase.

4.2 Restrictions

You must not, and must not allow any third party to:

• Copy, modify, adapt, translate, reverse-engineer, decompile or disassemble the Licensed Software, except to the extent expressly permitted by applicable law;
• Share, resell, lease, sublicense, lend or otherwise transfer the Licensed Software, license keys or activations;
• Circumvent or attempt to circumvent technical protection measures, activation limits or security features;
• Use the Licensed Software for any unlawful purpose or in any way that breaches these Terms.

4.3 Updates

Vertex may, at its discretion, provide updates, patches or new versions of the Licensed Software. Unless otherwise stated, such updates are subject to these Terms.

4.4 Term and termination

Your license remains valid for the duration and scope specified at purchase (for example, lifetime license with separate monthly fee per activation). Vertex may suspend or terminate your license if you materially breach these Terms or misuse the Services. Upon termination you must uninstall and cease all use of the Licensed Software.

5. ACCOUNT REGISTRATION AND SECURITY

5.1 Account

To access certain parts of the Services you may need to create a Vertex account. You must provide accurate, current and complete information and keep it up to date.

5.2 Credentials

You are responsible for maintaining the confidentiality of your login credentials and for all activities occurring under your account. Notify Vertex promptly of any unauthorised use or security breach. Vertex is not liable for losses arising from your failure to safeguard credentials.

6. FEES, PAYMENTS AND REFUNDS

6.1 Pricing

Current prices for licenses, subscriptions and addons are displayed on the Site or communicated in writing. Prices may change prospectively at any time. Unless stated otherwise, prices are shown exclusive of any VAT, GST or other sales taxes that may apply based on your billing location.

6.2 Payments

You authorise Vertex or its payment processors to charge all amounts due using the payment method you choose. You are responsible for any currency conversion, bank or payment provider fees.

6.3 Subscriptions

Where a Service is offered on a subscription basis (for example, monthly fee per activation), your subscription will automatically renew at the end of each billing period unless cancelled in accordance with Section 6.4.

6.4 Cancellation

You may cancel a subscription at any time with effect from the end of the current paid period. Access will continue until that date. Unless required by mandatory law, amounts already paid are nonrefundable.

6.5 No performance guarantees

Fees are charged for access to software and information, not for achievement of any trading results or profit. Vertex does not guarantee that the Services will generate profits, minimise losses or meet any performance metric.

7. INTELLECTUAL PROPERTY

7.1 Ownership

All intellectual property rights in and to the Site, Services, Licensed Software, algorithms, models, documentation, branding and content (including text, graphics, logos, icons, videos and datasets) are owned by Vertex or its licensors.

7.2 Limited rights

Except for the limited license in Section 4, these Terms do not grant you any rights to Vertex's or its licensors' intellectual property. You may not remove or alter any copyright, trademark or other proprietary notices.
